1. Introduction

Welcome to ChatBiz. By accessing our website at https://app.chatbiz.net/ ("Site") and using our WhatsApp Official Business API, Chatbot, Automation, and Bulk Messaging services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms").


If you do not agree to these Terms, you may not access or use the Services. ChatBiz ("we," "us," or "our") reserves the right to update these Terms at any time without prior notice.


2. Account Registration

To access the Services, you must register for an account. You agree to:

  1. Provide accurate, current, and complete information during the registration process.
  2. Maintain the security of your password and accept all risks of unauthorized access to your account.
  3. Notify us immediately if you discover or suspect any security breaches related to the Services.


3. Acceptable Use & WhatsApp Compliance

You acknowledge that ChatBiz is a technical provider facilitating access to the WhatsApp Business API. Your use of the Services is strictly subject to Meta (Facebook) and WhatsApp policies.


3.1. Anti-Spam & Consent

  1. You strictly agree to only send messages to users who have explicitly opted in to receive communications from you.
  2. You bear the sole responsibility for maintaining valid opt-in records.
  3. Sending unsolicited bulk messages ("spam") is strictly prohibited.

3.2. Prohibited Content

You may not use the Services to transmit content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or invasive of another's privacy.

3.3. Number Bans

Crucial: WhatsApp/Meta reserves the right to block or ban phone numbers that violate their Commerce or Business policies (e.g., high block rates from recipients).

  1. ChatBiz is not responsible if your WhatsApp number is banned or restricted by Meta due to your messaging activity.
  2. We do not offer refunds for subscriptions if your number is banned by WhatsApp.


4. Subscriptions, Fees, and Payment

4.1. Subscription Plans

The Services are billed on a subscription basis (monthly or annually). You agree to pay all fees associated with your chosen plan.

4.2. Meta Conversation Charges

In addition to our subscription fees, you are responsible for any usage-based fees charged by Meta for WhatsApp conversations (Service Conversations, Utility Conversations, Marketing Conversations, etc.), unless your specific plan states otherwise.

4.3. Refunds

Payments are non-refundable unless otherwise required by law or explicitly stated in a specific promotional offer.


5. Intellectual Property

5.1. Our Rights

ChatBiz owns all rights, title, and interest in and to the Services, including all intellectual property rights. You are granted a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes.

5.2. Your Data

You retain ownership of all data, text, and information you upload to the platform ("Customer Data"). You grant us a license to process this data solely to provide the Services.


6. Service Availability & Maintenance

We strive to maintain high availability of our Services. However, we do not guarantee that the Services will be uninterrupted or error-free. We may perform scheduled maintenance or emergency updates which may result in temporary downtime.


7. Limitation of Liability

To the fullest extent permitted by law, ChatBiz shall not be liable for:

  1. Any indirect, incidental, special, consequential, or punitive damages.
  2. Any loss of profits, data, use, or goodwill.
  3. Specifically: Any business interruption or loss resulting from WhatsApp/Meta changing their API policies, pricing, or banning your account.

Our total liability for any claim arising out of these Terms shall not exceed the amount you paid us for the Services in the three (3) months preceding the claim.


8. Indemnification

You agree to indemnify and hold harmless ChatBiz and its officers, directors, and employees from any claims, damages, liabilities, costs, and expenses (including legal fees) arising from:

  1. Your use of the Services.
  2. Your violation of these Terms.
  3. Your violation of any third-party rights (including WhatsApp/Meta policies).

9. Termination

We reserve the right to suspend or terminate your account immediately, without prior notice or liability, if you breach these Terms, particularly if you are found to be using the platform for spamming or illegal activities.

Upon termination, your right to use the Services will immediately cease.


10. Governing Law

These Terms shall be governed and construed in accordance with the laws of Sri Lanka, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts located in Kurunegala.
